SlotVail Terms of Use
Effective date: August 1, 2026
Section 1: Definition of Service
1. These Terms set the conditions for using SlotVail (the “Platform”), including experience-slot charity auctions, live streaming, and related chat services (the “Service”).
2. The Service is a global platform where hosts list special time or rights as slots, and participants compete for them by bidding.
Section 2: Identity Verification (KYC)
1. Hosts and participants must complete identity verification (KYC) required by the Platform and payment partners (e.g., Stripe), such as passport and address documents.
2. Until host KYC and payout onboarding are complete, Go Live and auction hosting remain locked by the system.
Section 3: Auction Formats and Winning Rules
1. Hosts choose one of the following formats. By bidding or entering a draw, you agree to the rules that apply to that auction.
- Single Premium: One exclusive seat. The highest bidder wins, or the participant who pays the host’s buy-now price if set. Only the winner is charged; other authorizations are released. The host may set a hidden reserve; if the top bid does not meet it, the auction fails and all authorizations are released.
- Tiered VIP: Multiple VIP tiers plus general seats. Only winners are charged; losing authorizations are released. For general seats, the host chooses either each winner paying their own bid, or a uniform price equal to the lowest winning general-seat bid.
- Premium Raffle: An authorization is placed on entry. The system draws winners automatically. Only winners are charged; losing authorizations are released.
- Free Charity: Free to join, with a 0% platform fee. Hosts may use this format only if they meet the eligibility conditions. A small authorization may be placed on entry and is released after the draw for both winners and non-winners (no participation fee is charged).
2. In Single Premium, if a buy-now price is paid, the auction ends immediately and that participant wins, even if the scheduled end time has not been reached.
3. In Tiered VIP, if the host enables Second-Chance Raffle, non-winners of the main allocation may be drawn for additional seats. Each such winner pays their own bid amount.
Section 4: Settlement and Charity
1. When you bid (including raffle entry and buy-now), Stripe places a card authorization hold only. Nothing is captured and nothing is paid to the host at that moment. The hold exists to stop prank or ghost bids. Losing holds are released.
2. When a win is confirmed (including raffle wins and buy-now), the hold is captured immediately and kept in Stripe as escrow. The host is not paid at that moment. The check-in QR is generated on the winner’s device from 2 hours before the experience (to stop screenshot resale; no venue data is required). A few minutes before that window through the day, we email and in-app notify winners to open My Page once and preload. After on-site mutual QR check-in (winner and host each scan the other), the host receives 90% of the win amount (10% platform fee). Card processing fees charged by the payment provider are borne by the Platform and are not deducted from the host’s 90%. If the host enabled charity, they publicly pledge a donation ratio (10%–100%; shown on the live page as a partial or full donation) and donate themselves after payout. There is no charity destination picker, and the Platform does not automatically split or transfer funds to charities.
3. The experience date is set by the host at listing. It may be any day on or after auction end—including two months or a year later—to match the host’s calendar. Win amounts stay in Stripe escrow until that date. The date is fixed at listing and cannot be changed after a win.
4. Auction proceeds and chat-coin proceeds are separate transfers. Timing and the minimum amount for coin auto-payout follow Section 6.
Section 5: Post-Win Cancel and Resale
1. After a win is confirmed, participant-initiated cancellation and refunds are generally not available. The experience date cannot be changed.
2. If a participant cannot attend, the only relief path on the Platform is Resale. The minimum price is at least the original winning amount, and the resale must end by 7 days before the experience date.
3. If a resale succeeds, the seller (original winner) receives a full release/refund of their original authorization amount only. Any amount above that original authorization is not paid to the seller (no resale profit). The Platform’s 10% fee applies on the new winner’s transaction. The seat transfers to the new winner; the experience date stays the same. If there are no bids, the listing fails and the original winner keeps the seat.
4. If the host cannot deliver the experience (emergency cancel, etc.), winners receive a full refund or equivalent release under Platform and Stripe Connect rules. See also the Legal Notice under Japan’s Specified Commercial Transactions Act.
Section 6: Chat and Coin System
1. When a host enables Pay-per-Comment, each chat comment costs 1 coin.
2. Coin spend is totaled by calendar month (JST) and paid after month-end as 90% of the converted yen to the host’s Stripe Connect account, same as Section 4.2. Card processing fees are borne by the Platform. It is a separate transfer from auction proceeds. If charity is enabled, the host donates according to their public ratio.
3. To keep small payouts from being materially reduced by payment-processor bank-payout fees, the Platform will not auto-transfer until closed coin payouts (after the fee in the preceding paragraph) plus auction payouts in the same window total at least ¥5,000. Amounts below that line carry forward. The same combined total applies whether the host had coins only or also had auction payouts. The current minimum and qualifying total are shown on the host dashboard under Payouts & sales. The Platform may change this minimum within a reasonable range if processor fees or similar conditions change.
4. Purchased coins and spent comments are non-refundable. Accounts may be frozen for abuse, and remaining coins may be voided.
Section 7: Disclaimer
1. Except for willful misconduct or gross negligence, the Platform is not liable for disputes, damages, or experience quality between hosts and winners.
2. FX conversion may cause small differences between displayed foreign-currency amounts and the settled amount; the Platform is not responsible for those variances.
